1. Agreement to Terms

Welcome to the LinkWatcher Marketplace. These Terms of Use ("Terms") constitute a legally binding agreement between you and RIUH PORTAL CO. L.L.C ("LinkWatcher," "we," "us," or "our"), a company registered in Dubai, United Arab Emirates.

By accessing or using the LinkWatcher Marketplace, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree to these Terms, you may not use the marketplace.

2. Definitions

• "Marketplace": The LinkWatcher platform that connects buyers (advertisers) with publishers for link building and content placement services
• "Buyer" or "Advertiser": A user who purchases link building or content placement services
• "Publisher": A user who offers their website(s) for link placement and content publication
• "Order": A transaction between a buyer and publisher for services
• "Service": Link building and content placement services offered on the marketplace, including guest posts, link insertions, press releases, and featured listings
• "Platform Fee": The fee charged by LinkWatcher for facilitating marketplace transactions (2.5% of order subtotal, minimum $2.50)
• "User": Any person or entity using the marketplace, whether as a buyer, publisher, or both

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use the LinkWatcher Marketplace, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Not be prohibited from using the service under UAE law or any other applicable jurisdiction
• Not have been previously suspended or banned from the platform

3.2 Account Registration

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account
• Not create multiple accounts to circumvent platform policies

3.3 Account Types

Users may register as:

• Buyers Only: Purchase services from publishers
• Publishers Only: Offer services to buyers
• Both: Act as both buyer and publisher (separate transactions)

3.4 Organization Accounts

If registering on behalf of an organization:

• You represent that you have authority to bind the organization
• The organization will be bound by these Terms
• Both you and the organization are responsible for account activities

5. Buyer Terms and Obligations

5.1 Placing Orders

As a buyer, you agree to:

• Provide accurate target URLs, anchor text, and content requirements
• Ensure your website and content comply with all applicable laws
• Respond to publisher questions within 48 hours
• Review submitted content within 5 business days
• Pay the full order amount including platform fees
• Not request prohibited or illegal content

5.2 Payment Obligations

You agree to:

• Pay for orders using accepted payment methods (Stripe, Paddle)
• Pay platform fees (2.5% of order subtotal, minimum $2.50) in addition to service costs
• Accept that platform fees are non-refundable
• Honor payment obligations even if order status changes after payment

5.3 Content Requirements

Your content and links must:

• Comply with publisher's prohibited niches list
• Meet publisher's content quality standards
• Not contain illegal, harmful, or prohibited material
• Not violate any third-party rights
• Not include adult content, illegal substances, gambling (unless publisher explicitly allows)

5.4 Content Approval Process

When content writing is included:

• Review submitted content within 5 business days
• Provide specific, actionable feedback for revisions
• Limit to reasonable revision requests (typically 1-2 rounds)
• Approve content once acceptable
• Understand that failure to respond within 5 days may result in automatic approval

5.5 Buyer Prohibitions

You may not:

• Request links to illegal, harmful, or malicious websites
• Manipulate reviews or ratings
• Request refunds for services delivered as promised
• Harass or abuse publishers
• Place fraudulent orders
• Use the platform for any illegal purpose

6. Publisher Terms and Obligations

6.1 Domain Listing

As a publisher, you agree to:

• Provide accurate domain metrics (DR, DA, spam score, organic traffic)
• Accurately describe your domain's niche, categories, and content
• Set realistic turnaround times
• Update pricing and availability regularly
• Submit your offerings for admin approval before they appear in marketplace

6.4 Publisher Prohibitions

You may not:

• Provide false or misleading domain metrics
• Publish content on domains you don't control (unless reseller)
• Remove published content or links without buyer agreement (except for legal compliance)
• Accept orders and then fail to deliver without valid reason
• Manipulate reviews or ratings
• Redirect domains after publishing content
• Use private blog networks (PBNs) without disclosure

7. Pricing and Fees

7.1 Service Pricing

Publishers set their own prices for:

• Guest post placement
• Link insertion
• Content writing (optional add-on)
• Any additional services

7.2 Platform Fees

7.3 Payment Processing

• Payment Processors: Stripe and Paddle
• Buyer Payment: Processed immediately upon order placement
• Payment Card Data: We do not store card information; handled securely by processors
• Currency: All transactions in USD
• Payment Methods: Credit cards, debit cards, and other methods supported by processors

7.4 Promotional Codes and Discounts

• Promotional codes may be offered from time to time
• Codes apply to order subtotal, not platform fees
• Cannot be combined with other offers unless stated
• Subject to terms and conditions specific to each promotion
• May have expiration dates or usage limits

8. Publisher Earnings and Payouts

8.1 Payout Requirements

To request a payout:

• Minimum Balance: $50 available balance
• Available Balance: Total earnings minus pending/completed payouts
• Pending Balance: Earnings from orders not yet completed

8.2 Payout Methods

8.3 Tax Responsibilities

You are solely responsible for:

• Reporting earnings to tax authorities
• Paying applicable taxes on earnings
• Providing tax documentation if required
• Understanding tax obligations in your jurisdiction

We may provide earnings reports but do not provide tax advice.

9. Reviews and Ratings

9.1 Review Guidelines

Reviews must:

• Be honest and based on actual experience
• Be relevant to the specific order
• Not contain offensive, discriminatory, or inappropriate language
• Not include personal information or contact details
• Focus on service quality and professionalism

9.2 Prohibited Review Practices

You may not:

• Offer incentives for positive reviews
• Create fake reviews or ratings
• Review your own services using alternate accounts
• Coordinate review manipulation with other users
• Threaten negative reviews to extort refunds or concessions

10. Prohibited Activities

10.1 General Prohibitions

You may not:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Engage in fraudulent or deceptive practices
• Harass, abuse, or threaten other users
• Spam users or the platform
• Attempt to circumvent platform fees
• Use automated systems without authorization
• Interfere with platform operation
• Access other users' accounts without permission
• Scrape or collect data without authorization

10.2 Content Prohibitions

You may not publish, request, or link to content involving:

• Illegal activities or services
• Child exploitation or abuse
• Terrorism or violent extremism
• Hate speech or discrimination
• Malware, phishing, or malicious code
• Counterfeit goods or services
• Unauthorized pharmaceutical sales
• Non-consensual intimate content
• Copyright infringement or piracy

11. Account Suspension and Termination

11.1 Suspension Grounds

We may suspend your account for:

• Violation of these Terms
• Suspicious or fraudulent activity
• Excessive refund requests or disputes
• Poor ratings or repeated complaints
• Non-delivery of services
• Abusive behavior toward other users
• Payment issues or chargebacks

11.2 Effects of Termination

Upon termination:

• Your access to the platform is revoked
• Pending orders may be cancelled with appropriate refunds/payments
• Your content may be removed from the platform
• Outstanding earnings (above $50) may be paid out after review
• Earnings below payout minimum may be forfeited
• You may not create new accounts without permission

12. Limitation of Liability

12.1 Platform "As-Is"

The marketplace is provided "as-is" and "as-available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy or reliability, and uninterrupted or error-free operation.

12.2 No Guarantee of Results

We do not guarantee:

• Specific SEO results or rankings
• Traffic or revenue from purchased links
• Publisher delivery or quality
• Buyer payment or behavior
• Success of any particular order

12.3 Limitation of Damages

To the maximum extent permitted by law, RIUH PORTAL CO. L.L.C shall not be liable for indirect, incidental, or consequential damages, loss of profits, revenue, or business opportunities, loss of data or content, or damages exceeding the amount you paid to us in the past 12 months.

13. Indemnification

You agree to indemnify, defend, and hold harmless RIUH PORTAL CO. L.L.C, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the marketplace, your violation of these Terms, your violation of any law or third-party rights, content you submit or publish, links you request or provide, disputes with other users, and your breach of representations and warranties.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms or use of the marketplace shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

14.3 Informal Resolution

Before initiating formal proceedings:

• Provide detailed description of dispute
• Allow 14 days for informal resolution attempt
• Engage in good-faith negotiation

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting for new users and 14 days after notification for existing users.

Continued use of the marketplace after changes take effect constitutes acceptance of modified Terms. If you do not agree, you must stop using the platform.
